FUNCTION HEALTH: Gifting Terms

Effective Date: October 6, 2025

In order to either: (a) purchase or give prepaid access (including, without limitation, through an offer Function Health may make available to certain members, whereby said members may gift an individual a one-time credit to be applied against the current retail price of a one-year Function Health membership as a partial or full prepayment for said membership) (each such person a Gift Giver (as defined below)) to Function's Services (a “Gift”) for use by a Recipient (as defined below) or (b) redeem a Gift as a Recipient (as defined below), you must agree to the terms and conditions below (the “Gift Terms”).

"Function," "us," "our," and "we," refer to Function Health, Inc., a Delaware corporation. "You", "you," "your," and "yourself," refer to you, as an individual (either, as a person giving Gift access (a “Gift Giver”) or as a Recipient (as defined below) of a Gift, as applicable), plus any entity, individual, and/or organization on whose behalf you are acting in connection with our Services.

These Gift Terms are in addition to, cumulative of, and not exclusive of the terms, conditions, and obligations set forth in Function's Terms of Service the ("ToS"), including without limitation Function's Privacy Policy. All capitalized terms not defined in these Gift Terms have the same meaning as set forth in the ToS. In the event of any conflict between these Gift Terms and the ToS, the Gift Terms shall control, provided that they are legally valid and binding. Function may, in its sole discretion, add additional terms and conditions in connection with Gift offers (for example, but without limitation, in an email or SMS/text communication or in the Services product), from time to time. These additional terms shall control in the event of any conflict with these Gift Terms or the ToS, but only to the extent of any conflict and as permitted by applicable law. All terms and conditions in our ToS, and in these Gifting Terms, are subject to change.

All Gift purchases and grants are final. No refunds, returns, credits, discounts, or rebates.

If purchasing or granting a Gift, you represent that you are providing the correct full name and contact information of the individual who will be receiving the Gift and who is expected to create and manage their own Function account (each such person, a "Recipient”). If you enter the wrong information, Function might send your Gift to a different person than you intended, so please make sure to double-check the Recipient's information.

Our Services are not intended for use by all Persons and not all persons are eligible to use our Services. As a Gift Giver you are responsible for making sure that the Recipient is eligible to use our Services and is physically, mentally, and emotionally capable of using our Services. Among other requirements, your Recipient must be at least eighteen (18) years of age.

In order to accept a Gift and make use of a Function Health membership as a Recipient, you must ensure your full physical, emotional, and mental capability to make use of our Services.

We do not facilitate access to laboratory testing services in Hawaii or Rhode Island. Please do not purchase or grant a Gift for a Recipient residing in one of those states if your goal is to give the Recipient prepaid access to lab testing. Please note that additional fees will apply to any Gift intended for a Recipient located in New York or New Jersey.

If providing any personal information to Function on behalf of a Recipient, you agree that you are authorized to do so and that Function may collect, store, retain, transmit, and use all Recipient personal information provided by you pursuant to the terms and conditions in our Privacy Policy, as applicable.

In order to redeem your Gift and use Function's Services as a Recipient, you must fully accept and at all times abide by our ToS, including without limitation our Privacy Policy. A Gift may only be used by the designated Recipient. A Gift – including any access code enabling access to a Gift – is not transferrable, has no resale value, and shall not count towards or be entitled to any referral program or similar fees offered by Function. This Gift does not entitle a Recipient to (a) any future credit or prepayment towards renewal of the subject membership or (b) any additional products or services beyond a one-time credit for a partially or fully prepaid membership (e.g. no Add-On testing included). Unless otherwise expressly stated in writing by Function, in its sole discretion, your membership shall automatically renew at the end of the one-year subscription period at the then-current regular retail price.

Function will not disclose the Recipient's Lab Results or any of the Recipient's other personal information to a Gift Giver. Notwithstanding the foregoing, Function reserves the right to notify a Gift Giver that the Recipient has received and/or opened your Gift.
